Welcome to Gidisquare, an online marketplace operated by Gidisquare Limited, a company registered in England and Wales with its registered office at 263 Princess Road, Manchester, England, M14 7LZ ("we," "us," or "Gidisquare"). These Terms and Conditions ("Terms") govern your use of the Gidisquare mobile application and website (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

Gidisquare is an online marketplace that connects buyers and sellers of goods and services. We do not own, operate, or provide the goods or services listed on the Platform; these are provided exclusively by third-party users ("Service Providers" or "Sellers"). All trademarks associated with goods or services listed on the Platform are the exclusive property of their respective owners.

1. Eligibility and Account Creation


To use the Platform, you must meet certain eligibility criteria and follow our account creation process:
  • Age and Legal Capacity: To use the Platform, you must be at least 18 years old and possess the legal capacity to enter into binding contracts under the laws of England and Wales. Individuals under 18 are prohibited from creating accounts or using the Platform, in line with our Child Safety Policy (Section 11).
  • Registration Process: You may create an account by completing the registration process, which requires you to provide accurate, current, and complete information, including but not limited to your full legal name, email address, contact number, and, for Service Providers, additional verification details. Incomplete or false information may result in account rejection or termination.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities conducted under your account. You must notify us immediately at support@gidisquare.co.uk if you suspect unauthorized access or use of your account. Gidisquare is not liable for losses resulting from your failure to secure your credentials.
  • All Service Providers (Sellers offering goods or services) must undergo an identity verification process to ensure Platform integrity and user trust. Gidisquare does not directly collect or process your identity data; this is handled by our third-party provider, Aiprise, in accordance with their terms and privacy policy. You consent to Aiprise processing your verification data on our behalf, as outlined in our Privacy Policy. Sellers must declare if they operate as a business; we may reclassify based on activity. We reserve the right to refuse or suspend accounts based on Aiprise's verification results or if inconsistent information is provided.
  • Single Account Rule: Each user is permitted only one account. Creating multiple accounts to circumvent restrictions, manipulate transactions, or abuse promotions is prohibited and may lead to immediate termination of all associated accounts.
  • Account Updates: You must keep your account information up-to-date, including changes to your contact details or payment methods. Failure to do so may affect transaction processing or communication with Gidisquare.
  • Right to Refuse: Gidisquare reserves the right to refuse account creation or terminate existing accounts at our discretion, including for suspected fraud, violation of these Terms, or conduct detrimental to the Platform's community.


2. User Content


Users may create or upload content to the Platform, subject to the following terms:
  • Content Creation: Users may create or upload content, including but not limited to text (e.g., product descriptions, reviews), images (e.g., photos of goods), or other materials ("User Content"), to list goods or services, communicate with other users, or promote their offerings on the Platform.
  • Ownership and License: You retain ownership of your User Content. By uploading it, you grant Gidisquare a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify (e.g., resize images), display, distribute, and store your User Content solely for the purposes of operating, maintaining, and promoting the Platform, including in marketing materials or customer support responses. This license continues even after account termination unless the content is removed.
  • Content Standards: You warrant that your User Content:
    • Does not infringe on any third-party rights, including copyright, trademark, privacy, or publicity rights.
    • Complies with all applicable UK laws, such as the Copyright, Designs and Patents Act 1988, Equality Act 2010, and Online Safety Act 2023 (when in force).
    • Is accurate, truthful, and not misleading (e.g., correctly describes goods/services).
    • Does not contain prohibited material, such as illegal items, explicit content, or content violating the Acceptable Use Policy (Section 9) or Child Safety Policy (Section 11).
  • Review and Removal: Gidisquare reserves the right, but not the obligation, to review, monitor, edit, or remove any User Content at our sole discretion, without prior notice, if we deem it inappropriate, illegal, offensive, or in violation of these Terms. We may also retain content for legal or investigative purposes post-removal.
  • Responsibility and Liability: You are solely responsible for the accuracy, legality, and appropriateness of your User Content. Gidisquare is not liable for any damages, losses, or disputes arising from User Content, including misrepresentations or intellectual property infringements. You agree to indemnify us against claims related to your content.
  • Prohibited Listings: You may not list goods or services that are illegal in the UK (e.g., counterfeit items, controlled substances), unsafe, or restricted by Platform policies (e.g., weapons, adult content). Violation may result in content removal and account suspension.
  • Backup and Loss: You are encouraged to maintain backups of your User Content. Gidisquare is not responsible for the loss or deletion of User Content due to technical issues, account termination, or policy enforcement.


3. Transactions and Fees


The Platform facilitates transactions between buyers and sellers, subject to the following terms:
  • Users may purchase goods or services listed by Sellers on the Platform. All transactions are agreements between the buyer and Seller; Gidisquare acts solely as a facilitator and is not a party to these contracts. We use Stripe for payment processing and PayPal for seller payouts; you use these third-party payment services at your own risk, and we are not liable for their failures. By using the Platform, you agree to Stripe and PayPal's terms, available at stripe.com/gb/legal and paypal.com/uk/legalhub.
  • In-App Purchases: Certain features or services may be available via in-app purchases, subject to additional terms presented at the time of purchase.
  • Commission: Gidisquare charges a commission fee of 10% on the total transaction amount (including delivery, as shipping fees are included in the listed price) for each completed sale. This fee is deducted from the Seller's proceeds before payout.
  • Shipping: Shipping fees are included in the listed price for all transactions, as Sellers and Service Providers are required to arrange delivery. Sellers must arrange delivery of physical products within 3-5 business days of receiving an order. For services, "delivery" refers to the completion of the service within the same 3-5 business day timeframe, unless otherwise agreed with the buyer. Gidisquare is not responsible for shipping arrangements, delays, or the completion of services, as these are handled exclusively by Sellers or Service Providers. For deliveries outside England and Wales, shipping terms are determined by the Seller, but the 3-5 business day requirement still applies unless otherwise specified in the listing.
  • Buyers Protection Program: We offer a Buyers Protection Program for eligible transactions to ensure a safe purchasing experience. The buyer protection fee is calculated based on the total transaction amount (including delivery, as shipping fees are included in the listed price) and is structured as follows:
    • For transactions of £15 or less: 5% of the transaction amount plus a fixed fee of £0.20 (e.g., a £10 transaction incurs a £0.70 fee).
    • For transactions between £15.01 and £50: 7% of the transaction amount (e.g., a £50 transaction incurs a £3.50 fee).
    • For transactions between £50.01 and £150: 5% of the transaction amount (e.g., a £150 transaction incurs a £7.50 fee).
    • For transactions above £150: 4% of the transaction amount, capped at a maximum of £10 (e.g., a £200 transaction incurs an £8 fee, a £300 transaction incurs a £10 fee).
  • This program includes the following benefits:
    • Protection of Purchases: We provide coverage for the following scenarios: (a) the item does not arrive; (b) the item arrives damaged; or (c) the item significantly differs from the description provided by the Seller. Eligible claims may be resolved via refund or replacement at our discretion, subject to the process below.
    • Additional Fraud Prevention Measures: To safeguard against unauthorized transactions, we implement an additional layer of security by randomly verifying transactions to ensure the legitimacy of the buyer.
    • Customer Support: Our team is available to address any inquiries you may have regarding your purchase. Contact us at support@gidisquare.co.uk or +44 161 1234567 (see Section 21) for assistance. We strive to ensure your shopping experience on Gidisquare is seamless and successful.
    • Secure Transactions: All payments are handled by trusted payment partners, Stripe and PayPal, as outlined in Section 3.1.
  • Claims must be submitted within 14 days of the transaction date via support@gidisquare.co.uk. To file a claim, provide: (a) your transaction details (e.g., order ID); (b) a description of the issue; and (c) supporting evidence (e.g., photos, messages). We will review the claim and may request additional information from you or the Seller. Decisions are made at our discretion and may result in a refund, replacement, or denial of the claim. This program does not affect your statutory rights under UK law (see Section 3.10).
  • Sales Finality: All sales are final unless covered by the Buyers Protection Program. Refunds or disputes outside this program are the responsibility of the Buyer and Seller.
  • Payout Schedule: Seller payouts, after deduction of the 10% commission, are processed and disbursed every Friday of the week, provided transactions are completed and funds are cleared.
  • After a buyer pays, we deduct our 10% commission and hold funds until the service is completed or the 14-day cancellation period ends (whichever is later). This period is for payout processing only and does not grant a statutory cancellation right under UK law. We then send your payout to your linked bank account or payment method within 5 business days, unless a dispute arises. Delays may occur due to payment processor timelines or verification checks.
  • Chargebacks: If a buyer initiates a chargeback after funds have been disbursed to a Seller (e.g., via credit card reversal), and the chargeback is upheld, Gidisquare reserves the right to recover the disputed amount from the Seller. This may include deducting the amount from future payouts or requiring direct repayment to Gidisquare within 14 days of notification. Sellers must cooperate with any investigation, providing evidence (e.g., proof of delivery or service completion) via support@gidisquare.co.uk. Failure to repay may result in account suspension or legal action, subject to applicable UK law.
  • Consumer Protection: Consumer protection laws do not fully apply to your purchases from other consumers on the Platform. Specifically, the right to reject (Section 20 of the Consumer Rights Act 2015) does not apply. Buyers' rights are significantly reduced when a sale is between two individuals. The following sections of the Consumer Rights Act 2015 do not apply: goods to be of satisfactory quality (Section 9) and fit for a particular purpose (Section 10). Goods or services from Sellers do not have to be fault-free, and if defects or issues were clearly mentioned in the Seller's description or visible in their photographs, you cannot claim against the Seller. However, if the Seller's goods or services do not match their description, you may request a refund or compensation from the Seller. Every purchase made using the 'Buy Now' button is covered by our Buyers Protection Program (Section 3.5), which provides additional safeguards.
  • Gidisquare offers optional paid tools to enhance seller visibility. "Boosted Listings" allow Sellers to pay £1 per listing for 7 days of top placement in search results or category pages, subject to availability and additional terms presented at purchase.
  • Gidisquare partners with local businesses or niche brands for targeted ads (e.g., banner ads or sponsored slots). Advertisers pay a flat rate of £50 per week for a homepage ad, with terms detailed at the time of agreement. Ad content must comply with our Acceptable Use Policy (Section 9).
  • Seller Delivery Responsibilities: Sellers and Service Providers are responsible for arranging delivery for their listings. As stated in these Terms and Conditions, Sellers must arrange delivery for their listings within 3-5 business days of receiving an order. The delivery cost must be included in the price set by the Seller. For services, "delivery" refers to the completion of the service within the same timeframe, unless otherwise agreed with the buyer. Failure to meet this requirement may result in buyer claims under the Buyers Protection Program (Section 3.5) and could lead to account review or suspension.


4. Subscriptions


Gidisquare may offer subscription plans to enhance user experience:
  • Gidisquare may offer subscription plans to enhance user experience (e.g., premium listings, additional features).
  • Subscription fees, duration, and benefits will be detailed at the point of subscription. Subscriptions auto-renew unless cancelled before the renewal date via your account settings.
  • No refunds are provided for subscription fees unless required by UK consumer law.


5. Promotions


Gidisquare may offer promotional events:
  • Gidisquare may offer promotions from time to time. Participation is subject to additional rules provided at the time of the event, which will supplement these Terms.
  • Eligibility and benefits will be specified in the respective promotion's terms.


6. Feedback and Suggestions


We value user feedback and suggestions:
  • If you provide feedback, suggestions, or ideas about the Platform ("Feedback"), you grant Gidisquare an irrevocable, perpetual, worldwide, royalty-free right to use, implement, and modify such Feedback without compensation or attribution to you.
  • We are not obligated to act on Feedback but may do so at our discretion.


7. Intellectual Property


The Platform's intellectual property is protected:
  • The Platform and its content (excluding User Content) are owned by Gidisquare Limited and protected by UK and international copyright, trademark, and other laws.
  • Trademarks associated with goods or services listed by Sellers remain the exclusive property of their respective owners. Gidisquare does not claim ownership of third-party trademarks.


8. User Responsibilities


Users must adhere to the following responsibilities:
  • You agree not to:
    • Use the Platform for illegal purposes or in violation of UK laws (e.g., Consumer Rights Act 2015, GDPR).
    • Upload harmful, offensive, or infringing content.
    • Misrepresent goods/services or engage in fraudulent transactions.
  • Sellers are responsible for accurately describing their offerings, fulfilling orders (including shipping within England and Wales), and complying with applicable regulations (e.g., tax obligations, trading standards). Sellers are solely responsible for reporting and paying applicable taxes. We may report your earnings to HMRC as required by UK law. Sellers offering services are encouraged to maintain general liability insurance sufficient to cover risks associated with their offerings.


9. Acceptable Use Policy


You must use the Platform responsibly and lawfully:
  • Unauthorized Access: Attempting to gain unauthorized access to the Platform, other user accounts, servers, or any connected systems or networks.
  • Malicious Software: Uploading, distributing, or transmitting viruses, malware, worms, Trojan horses, or any other harmful code designed to disrupt, damage, or limit the Platform's functionality.
  • Spam and Phishing: Sending unsolicited messages, advertisements, or engaging in phishing attempts to collect personal information from other users.
  • Harassment and Abuse: Harassing, bullying, threatening, or intimidating other users, including through messages, reviews, or User Content.
  • Illegal Content: Posting, uploading, or sharing content that is defamatory, obscene, pornographic, promotes illegal activities, or incites violence or hatred (e.g., based on race, religion, gender, or other protected characteristics under the Equality Act 2010).
  • Fraud and Deception: Engaging in fraudulent activities, such as creating fake listings, misrepresenting the condition or authenticity of goods/services, or manipulating reviews/ratings.
  • Overloading Systems: Conducting activities that unreasonably burden the Platform's infrastructure, such as excessive automated requests, scraping, or denial-of-service attacks.
  • Impersonation: Pretending to be another person, entity, or Gidisquare representative, or falsely claiming affiliation with any individual or organization.
  • Commercial Misuse: Using the Platform for purposes other than its intended marketplace function, such as advertising unrelated businesses or services without permission.
  • Circumvention: Attempting to bypass security measures, restrictions, or account suspensions imposed by Gidisquare.

You are responsible for ensuring your use complies with all applicable UK laws, including but not limited to the Consumer Rights Act 2015, Electronic Commerce Regulations 2002, and Online Safety Act 2023 (when in force).
Violation of this Acceptable Use Policy may result in immediate account suspension or termination, removal of offending content, and potential legal action. We may report illegal activities to law enforcement authorities and cooperate fully with investigations. We may proactively monitor content to comply with the Online Safety Act 2023.

10. Computer Offences


You must not engage in activities that violate UK law:
  • Unauthorized access to the Platform's systems or data.
  • Unauthorized modification of Platform content or functionality.
  • Denial-of-service attacks or attempts to disrupt Platform availability.

Any such offences will be reported to the appropriate authorities, and we reserve the right to cooperate fully with law enforcement.

11. Child Safety Policy


Gidisquare prioritizes child safety:
  • The creation of accounts by individuals under 18.
  • The posting of User Content that exploits, harms, or endangers minors, including images, descriptions, or solicitations involving children.
  • Any interactions targeting minors for inappropriate purposes.

Sellers offering goods or services must ensure their listings are appropriate for all audiences and comply with UK child protection laws (e.g., Children Act 1989, Online Safety Act 2023 when applicable).
Suspected violations of this policy should be reported immediately to support@gidisquare.co.uk. We will investigate and may remove content, terminate accounts, and report incidents to authorities as required by law.

12. SPAM and Unauthorized Message Activity


Unauthorized messaging is prohibited:
  • Bulk messaging unrelated to legitimate transactions or Platform use.
  • Promotional messages to users without their prior consent.
  • Automated or scripted messaging designed to overwhelm recipients.

All communications must comply with the Privacy and Electronic Communications Regulations 2003 (PECR) and GDPR requirements regarding consent and data use.
Violations may result in account restrictions, content removal, or termination, and we may report illegal SPAM to the Information Commissioner's Office (ICO).

13. Inaccuracies and Mistakes


We strive for accuracy but cannot guarantee it:
  • While we strive to ensure the Platform operates smoothly, inaccuracies or mistakes may occur, such as errors in listings, pricing, or transaction details caused by technical glitches or user input.
  • Gidisquare is not responsible for inaccuracies in User Content provided by Sellers (e.g., incorrect item descriptions), which remain the Seller's responsibility.
  • In the event of Platform-related errors (e.g., incorrect commission calculation), we will correct them promptly upon notification to support@gidisquare.co.uk, but we are not liable for losses unless covered by the Buyers Protection Program or required by UK law.
  • Users should report inaccuracies immediately to allow resolution; failure to do so may limit remedies.


14. Dispute Resolution


Disputes should be resolved amicably:
  • Disputes between users (e.g., Buyers and Sellers) should first be resolved directly between the parties involved.
  • Disputes about goods or services are primarily between buyers and sellers. We encourage you to resolve issues directly. If you can't agree, you can contact us at support@gidisquare.co.uk for assistance. We may offer informal mediation by reviewing evidence (e.g., messages, service details) and suggesting a solution, but we're not legally responsible for the outcome. Our buyer protection fee ensures refunds for eligible issues (e.g., non-delivery), subject to our refund policy. If mediation fails, you may contact national consumer bodies (e.g., Citizens Advice in the UK) for alternative dispute resolution before pursuing legal action.
  • Disputes covered by the Buyers Protection Program follow the process outlined in Section 3.5.


15. Gidisquare's Role and Liability


Gidisquare acts as a facilitator, not a provider:
  • Gidisquare does not own, operate, or provide the goods or services listed on the Platform, nor do we handle shipping logistics. We are not responsible for the quality, safety, legality, or delivery of such goods/services. For services requiring in-person interaction, all risks (e.g., safety, suitability) remain solely with the Buyer and Seller; Gidisquare is not responsible. We do not screen users beyond basic verification; you interact with others at your own risk.
  • To the fullest extent permitted by UK law, Gidisquare is not liable for any direct, indirect, or consequential losses arising from your use of the Platform, including transaction disputes, shipping issues, or User Content problems, except for death, personal injury, or fraud caused by our negligence or willful misconduct as required by law. You use the Platform at your own risk; we disclaim all implied warranties to the extent permitted by law. If a Seller is deemed a business under UK law, additional consumer rights may apply, and Gidisquare is not responsible for determining Seller status.
  • Our total liability, if any, shall not exceed the greater of commission fees paid or £100.
  • You agree to indemnify and hold Gidisquare harmless from claims, losses, or expenses (including legal fees) arising from your use of the Platform, your User Content, or breaches of these Terms, only to the extent your actions directly cause the claim, subject to UK law, provided we act with reasonable diligence.
  • We are not liable for delays or failures due to events beyond our control (e.g., natural disasters, technical outages).


16. Privacy and Data Security


Your data is protected as outlined in our Privacy Policy:
  • Your personal data is handled in accordance with our Privacy Policy, available on the Platform, and complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
  • We implement reasonable technical and organizational measures to protect your data from unauthorized access, loss, or disclosure. However, no system is entirely secure, and we cannot guarantee absolute security.
  • You are responsible for safeguarding your account credentials and notifying us immediately of any suspected breaches at support@gidisquare.co.uk.


17. Automatic Updates


The Platform may receive updates to improve functionality:
  • The Platform may receive automatic updates to improve functionality, security, or compliance with applicable laws.
  • These updates may occur without prior notice and are a condition of your continued use of the Platform. You may need to update your device's software to maintain compatibility.
  • Gidisquare is not liable for any interruptions or issues caused by automatic updates, provided they are deployed in good faith.
  • We aim to ensure the Platform is accessible per UK standards; report issues to support@gidisquare.co.uk.


18. Termination


We may terminate accounts for violations:
  • We may suspend or terminate your account at our discretion, with or without notice, for violations of these Terms, illegal activity, or conduct harming the Platform's integrity (including breaches of the Acceptable Use Policy, Computer Offences, Child Safety Policy, or SPAM sections).
  • You may terminate your account via the app settings, subject to settling any outstanding transactions or fees.


19. Intellectual Property Infringement Notices


To report intellectual property issues:
  • To report copyright or trademark infringements, email admin@gidisquare.co.uk with:
    • A description of the infringing content.
    • The location on the Platform.
    • Your contact details and a statement of ownership.
  • We will investigate and may remove content at our discretion.


20. Governing Law and Disputes


These Terms are governed by UK law:
  • These Terms are governed by the laws of England and Wales.
  • Disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where UK consumer law allows otherwise.
